Private Investment in Public Equity (PIPE): A private investment firm's, mutual funds’ or other qualified investors' purchase of stock in a company at a discount to the current market value per share for the purpose of raising capital.

PIPEs have never been a more popular way of raising capital. According to market research, PIPEs are likely to reach an unbelievable figure of approximately $50 billion, compared to last year’s $28.3 billion. Small cap and foreign companies are in crucial need to educate themselves about the PIPEs process.

Many investors have been wondering about the changes in regulations proposed by the SEC, more precisely, the proposed changes to the Rule 144 (proposing the reduced holding period), Form S3, and the Shelf Registration Requirements. The SEC is expected to react, i.e. adopt/not adopt these changes by February.
