The European Company [Societas Europaea]: Implementation, Practical Application in Formation and Legal Developments

Executive Summary
Objective
The European Company [formerly entitled Societas Europaea “SE”] derives from Council Regulation (EC) No. 2157/2001, permitting the establishment of the “SE,” and Council Directive 2001/86/EC, defining the role of employee involvement, both of 8 October 2001. The Regulation and the Directive have been the product of lengthy negotiations and the subject of numerous scholarly publications. More importantly, the Member States are required to implement the Regulation and Directive as of X, and several European Companies now exist. The objective of this Conference is to examine the practical aspects of member State implementation and to examine the practical issues of establishing an “SE” from a legal and business perspective, without ignoring important legal issues and expected new developments in company law. “Hands-on” experience is the focal point.
Format
The Conference will take place over the course of one day 16 October 2007. The morning session will consist of lecture presentations on select topics by individual panel experts. The afternoon session will consist of “break out” sessions on different topics designed to facilitate interaction between the moderator and delegates. The Conference will close with reports from the “break out” groups and a statement of conclusions reached.
