Corporate governance often refers to the system that governs the manner in which an organisation is directed, administered or controlled. The importance of corporate governance is critical, in particularly with major organisations being exposed with financial fraud and mismanagement of funds.

The call for stricter corporate governance is a global phenomenon. However, the starting point of reform in Asia is lagging behind US and Europe. Since the economic crisis in East Asia in 1997, corporate sector began to do their part in reforming their corporate governance system. However, while the system in Asia has improved, corporate-governance system takes time to reform, so patience and time is needed.

In times of financial crisis today, corporates recognise the benefit of keeping strict corporate governance system. Numerous international studies have reflected that good corporate governance will positively affect investment performance. In survey done by McKinsey in 2002, investors mentioned that they would pay a premium to well governed companies in Asia and Latin America. Benefit of strict governance goes beyond this, it also attracts more investors and lenders with higher investors’ confidence and lower management risk.
